1. Intellectual Property

Unless otherwise noted, content made available by CENTROID Corporation on the Sites, including text, images, graphics, software, documentation, product information, logos, and other materials, is owned by or licensed to CENTROID Corporation and is protected by applicable copyright, trademark, and other intellectual property laws.

Except as expressly permitted by law or by CENTROID Corporation in writing, content may not be copied, reproduced, republished, uploaded, posted, transmitted, modified, distributed, or commercially exploited without prior written permission from CENTROID Corporation.

2. Accuracy of Information

While we make reasonable efforts to provide accurate and up-to-date information, product descriptions, specifications, images, pricing, availability, compatibility information, lead times, and other content on the Sites may contain errors, omissions, or changes.

CENTROID Corporation reserves the right to correct errors, update information, and change or discontinue products, specifications, pricing, and availability at any time without prior notice, subject to applicable law and any rights applicable to orders that have already been accepted.

3. Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the Sites and their content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

CENTROID Corporation does not warrant that the Sites will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Nothing in these Terms limits or excludes any warranty or other obligation that cannot lawfully be limited or excluded, including applicable express warranties, product warranties, or rights provided to consumers under applicable law.

To the maximum extent permitted by applicable law, CENTROID Corporation shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Sites, their content, or products purchased through the Sites, except to the extent such limitation is prohibited by applicable law.

Any limitations of liability applicable to a specific product or service may also be governed by the applicable written warranty, license agreement, quotation, or other agreement provided with that product or service.

4. Software & Hardware Use

CENTROID CNC control boards require compatible CENTROID software and compatible hardware configurations to function correctly. Software functionality may depend on licensing level, software version, hardware configuration, and other technical requirements.

Software and documentation provided by CENTROID Corporation may be subject to additional license terms. Where a separate software license agreement applies, that agreement governs the use of the applicable software to the extent of any conflict with these Terms.

Except as expressly permitted by applicable law or an applicable license agreement, unauthorized copying, modification, reverse engineering, decompilation, disassembly, or distribution of CENTROID software is prohibited.

5. User Submissions

If you voluntarily submit reviews, comments, suggestions, feedback, or other content to CENTROID Corporation, you represent that you have the right to provide that content and that doing so does not violate the rights of any third party.

By submitting such content, you grant CENTROID Corporation a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, display, and distribute the submitted content for legitimate business purposes, including customer support, product improvement, documentation, and marketing, subject to applicable law.

Do not submit confidential, proprietary, sensitive, or personal information that you do not want CENTROID Corporation to use for these purposes.

CENTROID Corporation reserves the right, but not the obligation, to remove or decline to publish submitted content that is unlawful, abusive, defamatory, misleading, infringing, or otherwise inappropriate.

6. Trademarks

CENTROID, CENTROID CNC, and other names, logos, and marks identified as belonging to CENTROID Corporation are trademarks or service marks of CENTROID Corporation, whether registered or unregistered.

Third-party names, trademarks, logos, and service marks displayed on the Sites belong to their respective owners. Their appearance on the Sites does not imply ownership of those marks by CENTROID Corporation or any endorsement, sponsorship, or affiliation unless expressly stated.

Unauthorized use of CENTROID Corporation trademarks or other proprietary marks is prohibited.

7. Third-Party Links

The Sites may contain links to third-party websites, services, or resources. CENTROID Corporation does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites or services.

Access to third-party websites and services is at your own risk and may be subject to the terms and policies of the applicable third party.

8. Acceptable Use & Security Policy

You may not use the Sites to violate applicable law or to post, transmit, or distribute unlawful, fraudulent, defamatory, obscene, threatening, abusive, infringing, or otherwise objectionable content.

You may not attempt to gain unauthorized access to the Sites, other users' accounts, computer systems, networks, or services; interfere with the operation or security of the Sites; introduce malicious code; or use automated systems in a manner that places an unreasonable burden on our infrastructure.

Security Research, Vulnerability Testing & Bug Hunting: CENTROID Corporation does not operate a bug bounty program, vulnerability reward program, or authorized security research program. Unauthorized security testing, vulnerability scanning, penetration testing, data harvesting, denial-of-service testing, or unauthorized access attempts against our Sites, servers, APIs, or infrastructure are strictly prohibited.

We do not offer "safe harbor" or authorization for third-party penetration testing or vulnerability research. Any unauthorized testing, access, or exploitation of our systems may be treated as a security incident and may be referred to law enforcement and/or legal counsel for investigation and appropriate action, including civil or criminal proceedings where warranted and permitted by applicable law.

CENTROID Corporation reserves the right to suspend or terminate access to the Sites, remove content, or take other appropriate legal or technical action when reasonably necessary to protect the Sites, our users, our business, or third parties, subject to applicable law.

CENTROID Corporation may cooperate fully with law enforcement or other governmental authorities when required by law or when investigating security breaches or unauthorized activity.

9. Privacy & Cookies

CENTROID Corporation does not sell personal information. We collect and use information as described in our Privacy Policy.

Email addresses and other contact information may be used for:

• Order confirmations and status updates
• Product updates and newsletters
• Promotional offers and special deals
• Customer support and service communications
• Review requests, which may include store-credit incentives

You may unsubscribe from marketing and newsletter emails at any time. Certain transactional, account, security, warranty, licensing, or other service-related communications may still be sent when necessary.

The Sites use cookies and similar technologies to maintain login sessions, enable shopping cart functionality, process transactions, improve performance, and analyze usage patterns. You may disable cookies in your browser, although some Site features may not function properly as a result.

10. Orders, Pricing, Currency & Payment

Specialty Machine Corporation ("SMC"), a CENTROID Corporation company, is a United States company headquartered in Pennsylvania. All product pricing, shipping quotes, fees, and transactions on the Sites are listed and processed strictly in United States Dollars ($ / USD).

If you purchase from outside the United States, your payment provider or card issuer may apply currency conversion rates, foreign transaction fees, or international service charges. CENTROID Corporation and SMC are not responsible for any exchange rate fluctuations, foreign currency conversion fees, or financial charges levied by your banking institution or payment card issuer.

Product prices, availability, specifications, and other purchasing information displayed on the Sites are subject to change without notice. We reserve the right to correct pricing or other errors and to cancel or decline an order affected by an obvious pricing or listing error, subject to applicable law.

Placing an order through the Sites constitutes an offer to purchase the selected products or services. An order is not necessarily accepted merely because it has been submitted or because an automated order confirmation has been sent. CENTROID Corporation and SMC reserve the right to accept, reject, limit, or cancel an order for legitimate business reasons, including product availability, pricing errors, suspected fraud, payment issues, or other circumstances permitted by law.

Payments submitted through the Sites may be processed through Authorize.net or other applicable payment processing and merchant service providers. We do not store full payment card numbers or payment security codes on our systems.

Payment transactions may be subject to authorization, verification, fraud screening, and other security measures. An authorization or successful payment submission does not by itself guarantee that an order will be accepted or fulfilled.

If an order is canceled or adjusted, any applicable refund will be processed in USD according to our applicable refund, cancellation, or order policies and the requirements of the payment method and applicable law.

11. Shipping, Optional Services, Estimates & Delivery

Product pages may display estimated lead times based on current production schedules. Unless expressly stated otherwise in writing, these dates are estimates and are not guaranteed delivery dates.

Lead time refers to the time required to prepare, assemble, manufacture, or otherwise process an order before it is shipped. Shipping methods selected at checkout, such as Standard, 3-Day, 2-Day, or Overnight, generally affect carrier transit time after the order has shipped and do not reduce product lead times.

Selecting a faster shipping method does not guarantee a specific delivery date unless CENTROID Corporation expressly provides such a guarantee in writing.

Optional Add-On Fees and Checkout Services: Customers may opt into additional shipping and documentation services during checkout:

• Signature Required: If selected, an additional fee passed through from the shipping carrier will be applied to the order to mandate a signature upon delivery.
• Certificate of Origin: Processing fees for a Certificate of Origin are $30 USD for FedEx shipments and $70 USD for UPS shipments when requested at checkout. If a Certificate of Origin is requested after the order has already shipped, a fee of $200 USD will apply.
• Shipping Insurance & USPS Shipments: Our standard shipping insurance coverage does not apply to USPS shipments with an order value over $500 USD. Customers may purchase the optional USPS insurance coverage offered at checkout for eligible shipments.

CENTROID Corporation is not responsible for carrier delays, weather events, transportation disruptions, customs processing, labor disruptions, or other circumstances outside our reasonable control, except where otherwise required by applicable law.

For shipments transported by a carrier, responsibility for loss or damage will be determined in accordance with the applicable sales terms, shipping terms, applicable law, and the circumstances of the shipment. Nothing in these Terms is intended to waive or limit rights or obligations that cannot lawfully be waived or limited.

Customers should promptly inspect shipments upon delivery and notify the carrier and CENTROID Corporation as soon as reasonably possible of any visible damage, shortage, or other delivery issue. Where appropriate, customers may be required to cooperate with carrier claims procedures.

International orders may be subject to import duties, taxes, customs fees, brokerage charges, or other fees imposed by the destination country or its authorities. Unless expressly stated otherwise at the time of purchase, these charges are the responsibility of the customer.

Failure or delay in payment of required import charges may result in the return, abandonment, or other disposition of a shipment by the carrier or customs authorities. CENTROID Corporation is not responsible for delays or additional costs resulting from the customer's failure to comply with applicable import requirements.

Nothing in this section limits any rights a customer may have under applicable consumer protection laws, shipping regulations, or other applicable law.

12. Returns, Refunds & Cancellations

Software Non-Returnable Policy: Software license purchases are non-returnable and non-refundable once issued. CENTROID software licenses are issued for use with the applicable CENTROID control board and cannot simply be revoked or invalidated after issuance. Accordingly, customers should verify the desired software licensing level before completing a purchase. Software licenses may, however, be transferred to replacement hardware in accordance with CENTROID licensing procedures.

This software return policy does not limit any rights or remedies that cannot lawfully be limited or excluded, or any rights expressly provided under an applicable written agreement.

Hardware Return Eligibility: Hardware products may be eligible for return subject to the terms provided herein. All return requests must be made within fourteen (14) days from the date of delivery. Inquiries regarding returns should be directed to diysales@centroidcnc.com or by calling CENTROID DIY Sales at +1 (814) 353-9290.

This voluntary return policy applies to ordinary customer-initiated returns and does not replace or limit any applicable product warranty or rights or remedies available under applicable law.

Re-Sellable Condition Requirement: To qualify for a refund, returned hardware must be in re-sellable condition, as determined in CENTROID’s sole discretion. Factors evaluated include, but are not limited to: obvious signs of use or abuse, customer negligence, excessive wear and tear, altered physical configurations, or damaged or missing products or parts. Products failing to meet re-sellable condition standards will be denied a refund.

Restocking Fees & Shipping Charges: Where CENTROID determines, at its sole discretion, that a product is in re-sellable condition, the Customer will be issued a refund or store credit minus a 15% restocking fee. Shipping costs are non-refundable in either direction; refunds do not include original shipping charges, and the Customer is responsible for return shipping expenses. Approved refunds will typically be processed within 7 to 14 business days of CENTROID's receipt of the returned product.

Customized and Special-Order Products: Products that are customized, modified, specially configured, specially ordered, or otherwise prepared specifically for a customer may not be eligible for return. Return eligibility for such products will be determined on a case-by-case basis, subject to any applicable warranty and applicable law.

Order Cancellations: Cancellation requests should be submitted as soon as possible. CENTROID Corporation may approve or deny cancellation requests based on the status of the order. Orders that have entered production, assembly, procurement, customization, fulfillment, or shipment may not be eligible for cancellation or may be subject to applicable restocking, processing, or other charges. Cancellation requests for orders that have not yet reached those stages will be considered on a case-by-case basis.

13. Warranty Claims & RMA Procedures

Applicable Product Warranty: Warranty claims are governed by the applicable written CENTROID product warranty. The applicable product warranty may provide additional rights, remedies, limitations, exclusions, and procedures that apply to the particular product.

The ordinary return policy in Section 12 does not replace, limit, or shorten an applicable product warranty. Warranty claims must be handled according to the applicable warranty and CENTROID's RMA procedures.

RMA Requirement: A CENTROID-issued Return Merchandise Authorization (RMA) number is mandatory for all return shipments of defective parts. To request an RMA number, contact support@centroidcnc.com or call +1 (814) 353-9256 (press 4 for support). A report.zip diagnostic file or product serial number(s) may be required for Tech Support to generate an RMA. Do not ship any items without an RMA number. Unsolicited shipments without a valid RMA number may be refused.

Warranty Shipping Responsibilities: Unless otherwise provided by the applicable written warranty, the Buyer is responsible for shipping charges incurred to send defective parts to CENTROID. Shipping charges for warranty-repaired or replaced products returned from CENTROID to the Buyer will be covered by CENTROID, shipped via the same carrier method used in the original order. Any expedited shipping requested by the Buyer will be billed at the Buyer's expense. If CENTROID determines that returned parts are not defective or are not covered under warranty, the Buyer may be responsible for subsequent costs incurred by CENTROID for diagnosis and replacement, as provided by the applicable warranty.

14. Force Majeure

CENTROID Corporation will not be responsible for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, power outages, war, terrorism, labor disruptions, supply shortages, transportation disruptions, telecommunications or internet failures, governmental actions, epidemics or pandemics, or failures of third-party service providers.

This section does not excuse obligations that cannot lawfully be excused or restrict any rights or remedies required by applicable law.

15. Governing Law & Jurisdiction

These Terms, your use of the Sites, and any purchases made through the Sites shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Pennsylvania and the applicable federal laws of the United States of America, without regard to conflict of law principles.

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Sites shall be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and you irrevocably consent to the personal jurisdiction and venue of such courts.

16. Changes to These Terms

CENTROID Corporation may update these Terms from time to time by posting revised Terms on the Sites. The revised Terms will be effective when posted unless a different effective date is stated.

Changes to these Terms will not retroactively modify rights or obligations applicable to an order or agreement that was already accepted, except as permitted by applicable law or expressly agreed by the parties.

Your continued use of the Sites after revised Terms become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with any applicable Privacy Policy, product-specific warranty, software license, quotation, order terms, or other written agreement expressly applicable to a transaction, constitute the applicable agreement concerning use of the Sites and purchases made through them.

No provision of these Terms is intended to override a separate written agreement that expressly governs a particular transaction or product.
