1. Intellectual Property

Unless otherwise noted, content made available by CENTROID Corporation on the Sites, including text, images, graphics, software, documentation, product information, logos, and other materials, is owned by or licensed to CENTROID Corporation and is protected by applicable copyright, trademark, and other intellectual property laws.

Except as expressly permitted by law or by CENTROID Corporation in writing, content may not be copied, reproduced, republished, uploaded, posted, transmitted, modified, distributed, or commercially exploited without prior written permission from CENTROID Corporation.

2. Accuracy of Information

While we make reasonable efforts to provide accurate and up-to-date information, product descriptions, specifications, images, pricing, availability, compatibility information, lead times, and other content on the Sites may contain errors, omissions, or changes.

CENTROID Corporation reserves the right to correct errors, update information, and change or discontinue products, specifications, pricing, and availability at any time without prior notice, subject to applicable law and any rights applicable to orders that have already been accepted.

3. Disclaimer of Warranties and Limitation of Liability

To the maximum extent permitted by applicable law, the Sites and their content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

CENTROID Corporation does not warrant that the Sites will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Nothing in these Terms limits or excludes any warranty or other obligation that cannot lawfully be limited or excluded, including applicable express warranties, product warranties, or rights provided to consumers under applicable law.

To the maximum extent permitted by applicable law, CENTROID Corporation shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Sites, their content, or products purchased through the Sites, except to the extent such limitation is prohibited by applicable law.

Any limitations of liability applicable to a specific product or service may also be governed by the applicable written warranty, license agreement, quotation, or other agreement provided with that product or service.

4. Software & Hardware Use

CENTROID CNC control boards require compatible CENTROID software and compatible hardware configurations to function correctly. Software functionality may depend on licensing level, software version, hardware configuration, and other technical requirements.

Software and documentation provided by CENTROID Corporation may be subject to additional license terms. Where a separate software license agreement applies, that agreement governs the use of the applicable software to the extent of any conflict with these Terms.

Except as expressly permitted by applicable law or an applicable license agreement, unauthorized copying, modification, reverse engineering, decompilation, disassembly, or distribution of CENTROID software is prohibited.

5. User Submissions

If you voluntarily submit reviews, comments, suggestions, feedback, or other content to CENTROID Corporation, you represent that you have the right to provide that content and that doing so does not violate the rights of any third party.

By submitting such content, you grant CENTROID Corporation a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, display, and distribute the submitted content for legitimate business purposes, including customer support, product improvement, documentation, and marketing, subject to applicable law.

Do not submit confidential, proprietary, sensitive, or personal information that you do not want CENTROID Corporation to use for these purposes.

CENTROID Corporation reserves the right, but not the obligation, to remove or decline to publish submitted content that is unlawful, abusive, defamatory, misleading, infringing, or otherwise inappropriate.

6. Trademarks

CENTROID, CENTROID CNC, and other names, logos, and marks identified as belonging to CENTROID Corporation are trademarks or service marks of CENTROID Corporation, whether registered or unregistered.

Third-party names, trademarks, logos, and service marks displayed on the Sites belong to their respective owners. Their appearance on the Sites does not imply ownership of those marks by CENTROID Corporation or any endorsement, sponsorship, or affiliation unless expressly stated.

Unauthorized use of CENTROID Corporation trademarks or other proprietary marks is prohibited.

7. Third-Party Links

The Sites may contain links to third-party websites, services, or resources. CENTROID Corporation does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites or services.

Access to third-party websites and services is at your own risk and may be subject to the terms and policies of the applicable third party.

8. Acceptable Use

You may not use the Sites to violate applicable law or to post, transmit, or distribute unlawful, fraudulent, defamatory, obscene, threatening, abusive, infringing, or otherwise objectionable content.

You may not attempt to gain unauthorized access to the Sites, other users' accounts, computer systems, networks, or services; interfere with the operation or security of the Sites; introduce malicious code; or use automated systems in a manner that places an unreasonable burden on our infrastructure.

CENTROID Corporation reserves the right to suspend or terminate access to the Sites, remove content, or take other appropriate action when reasonably necessary to protect the Sites, our users, our business, or third parties, subject to applicable law.

CENTROID Corporation may cooperate with law enforcement or other governmental authorities when required by law or when legally permitted.

9. Privacy & Cookies

CENTROID Corporation does not sell personal information. We collect and use information as described in our Privacy Policy.

Email addresses and other contact information may be used for:

• Order confirmations and status updates
• Product updates and newsletters
• Promotions and special offers
• Customer support and service communications
• Review requests, which may include store-credit incentives

You may unsubscribe from marketing and newsletter emails at any time. Certain transactional, account, security, warranty, licensing, or other service-related communications may still be sent when necessary.

The Sites use cookies and similar technologies to maintain login sessions, enable shopping cart functionality, process transactions, improve performance, and analyze usage patterns. You may disable cookies in your browser, although some Site features may not function properly as a result.

10. Orders, Pricing & Payment

Product prices, availability, specifications, and other purchasing information displayed on the Sites are subject to change without notice. We reserve the right to correct pricing or other errors and to cancel or decline an order affected by an obvious pricing or listing error, subject to applicable law.

Placing an order through the Sites constitutes an offer to purchase the selected products or services. An order is not necessarily accepted merely because it has been submitted or because an automated order confirmation has been sent. CENTROID Corporation reserves the right to accept, reject, limit, or cancel an order for legitimate business reasons, including product availability, pricing errors, suspected fraud, payment issues, or other circumstances permitted by law.

Payments submitted through the Sites are processed using Authorize.net and the applicable payment processing and merchant services providers. We do not store full payment card numbers or payment security codes on our systems.

Payment transactions may be subject to authorization, verification, fraud screening, and other security measures. An authorization or successful payment submission does not by itself guarantee that an order will be accepted or fulfilled.

If an order is canceled or adjusted, any applicable refund will be processed according to our applicable refund, cancellation, or order policies and the requirements of the payment method and applicable law.

11. Shipping, Estimates & Delivery

Product pages may display estimated lead times based on current production schedules. Unless expressly stated otherwise in writing, these dates are estimates and are not guaranteed delivery dates.

Lead time refers to the time required to prepare, assemble, manufacture, or otherwise process an order before it is shipped. Shipping methods selected at checkout, such as Standard, 3-Day, 2-Day, or Overnight, generally affect carrier transit time after the order has shipped and do not reduce product lead times.

Selecting a faster shipping method does not guarantee a specific delivery date unless CENTROID Corporation expressly provides such a guarantee in writing.

CENTROID Corporation is not responsible for carrier delays, weather events, transportation disruptions, customs processing, labor disruptions, or other circumstances outside our reasonable control, except where otherwise required by applicable law.

For shipments transported by a carrier, responsibility for loss or damage will be determined in accordance with the applicable sales terms, shipping terms, applicable law, and the circumstances of the shipment. Nothing in these Terms is intended to waive or limit rights or obligations that cannot lawfully be waived or limited.

Customers should promptly inspect shipments upon delivery and notify the carrier and CENTROID Corporation as soon as reasonably possible of any visible damage, shortage, or other delivery issue. Where appropriate, customers may be required to cooperate with carrier claims procedures.

International orders may be subject to import duties, taxes, customs fees, brokerage charges, or other fees imposed by the destination country or its authorities. Unless expressly stated otherwise at the time of purchase, these charges are the responsibility of the customer.

Failure or delay in payment of required import charges may result in the return, abandonment, or other disposition of a shipment by the carrier or customs authorities. CENTROID Corporation is not responsible for delays or additional costs resulting from the customer's failure to comply with applicable import requirements.

Nothing in this section limits any rights a customer may have under applicable consumer protection laws, shipping regulations, or other applicable law.

12. Product-Specific Terms, Warranties & Returns

Certain products and services may be subject to additional warranty terms, return policies, license agreements, quotations, purchase agreements, or other written terms provided with or applicable to the product or service.

Where a separate written agreement or product-specific policy applies, that agreement or policy governs the applicable product or transaction to the extent of any conflict with these Terms.

Nothing in these Terms is intended to eliminate, restrict, or modify any non-waivable warranty, consumer protection right, or other legal right provided by applicable law.

13. Force Majeure

CENTROID Corporation will not be responsible for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, power outages, war, terrorism, labor disruptions, supply shortages, transportation disruptions, telecommunications or internet failures, governmental actions, epidemics or pandemics, or failures of third-party service providers.

This section does not excuse obligations that cannot lawfully be excused or restrict any rights or remedies required by applicable law.

14. Changes to These Terms

CENTROID Corporation may update these Terms from time to time by posting revised Terms on the Sites. The revised Terms will be effective when posted unless a different effective date is stated.

Changes to these Terms will not retroactively modify rights or obligations applicable to an order or agreement that was already accepted, except as permitted by applicable law or expressly agreed by the parties.

Your continued use of the Sites after revised Terms become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable Privacy Policy, product-specific warranty, software license, quotation, order terms, or other written agreement expressly applicable to a transaction, constitute the applicable agreement concerning use of the Sites and purchases made through them.

No provision of these Terms is intended to override a separate written agreement that expressly governs a particular transaction or product.
